The number of shares to be offered by Quintiles and its shareholders and the price range for the offering have not yet been determined. Quintiles expects to use the net proceeds it receives from the offering to repay a portion of its existing long-term debt and for general corporate purposes.

Morgan Stanley, Barclays and JP Morgan are serving as joint lead book-running managers for the offering. Citigroup, Goldman, Sachs & Co, Wells Fargo Securities, BofA Merrill Lynch and Deutsche Bank Securities are serving as book-running managers for the offering. Baird, William Blair and Jefferies are serving as lead co-managers, and Piper Jaffray and UBS Investment Bank are serving as co-managers for the offering.

The offering will be made only by means of a prospectus. A registration statement relating to these securities has been filed with the SEC, but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
